Terms & Conditions

These Terms & Conditions apply to corporate, workplace and organisational services provided by Nutrivival.

They should be read together with the relevant proposal, quotation, booking confirmation or statement of work provided by Nutrivival (together, the “Booking”).

By confirming a Booking, the Client agrees to these Terms & Conditions.

1. About Nutrivival

Nutrivival provides evidence-informed nutrition and wellbeing education, coaching and related services to organisations and their employees.

Services may include, but are not limited to:

  • workplace nutrition and wellbeing presentations;
  • workshops and interactive sessions;
  • webinars and online programmes;
  • nutrition programmes for shift workers;
  • workplace nutrition and wellbeing programmes;
  • Nutrition Pop-Up Clinics;
  • individual nutritional support commissioned by an organisation;
  • educational resources, videos, workbooks and other nutrition-related materials.

Anna Earl, trading as Nutrivival, is a qualified nutrition professional and a member of the British Association for Nutrition and Lifestyle Medicine (BANT) and the Complementary and Natural Healthcare Council (CNHC), where applicable to her clinical practice.

Nutrivival works within the scope of its qualifications, professional competence and professional standards, and maintains appropriate continuing professional development.

2. Definitions

In these Terms & Conditions:

“Client” means the organisation, business, public body or other entity purchasing or commissioning Services from Nutrivival.

“Participant” means an employee, worker, member, attendee or other individual taking part in the Services.

“Services” means the services described in the relevant Booking.

“Materials” means any presentations, workbooks, handouts, worksheets, videos, recordings, resources, frameworks, written content or other materials created or supplied by Nutrivival.

“Booking” means the agreed proposal, quotation, booking confirmation or statement of work setting out the Services to be provided.

3. Services

The scope of the Services will be agreed with the Client in advance and confirmed in writing.

The Booking will normally specify:

  • the type of Service;
  • date(s) and time(s);
  • duration;
  • delivery format and location;
  • expected or maximum number of Participants, where applicable;
  • fees;
  • any agreed expenses or additional costs;
  • any specific requirements or deliverables.

Nutrivival will use reasonable care and skill in providing the Services and will make reasonable efforts to deliver the Services as agreed.

Any significant changes to the agreed scope of the Services must be agreed in writing and may result in an additional charge.

4. Corporate Nutrition and Wellbeing Services

Group presentations, workshops and programmes provide general nutrition and wellbeing education and are not a substitute for individual clinical assessment or medical advice.

Information provided during group Services is intended to support general health and wellbeing and will not normally be tailored to an individual Participant’s medical history, medication or specific health conditions.

Participants remain responsible for considering whether information provided is appropriate for their individual circumstances and should seek advice from an appropriate healthcare professional where necessary.

Nutrivival does not accept responsibility for an individual’s decision to make dietary, lifestyle or supplement changes based solely on information provided during a group session.

Where appropriate, Participants may be advised to seek advice from their GP, registered dietitian, pharmacist or another suitably qualified healthcare professional.

5. Individual Nutritional Support for Employees

Where the Client commissions individual nutritional support for employees or other Participants, those individuals will be required to complete the relevant Nutrivival client documentation and agree to the applicable Nutrivival Nutritional Therapy Client Terms & Conditions and Privacy Policy before receiving individual clinical advice.

Individual Participants may be required to provide relevant health information, obtain consent and complete appropriate pre-consultation documentation.

Where individual nutritional therapy is provided, Nutrivival’s professional obligations are to the individual Participant as the recipient of the clinical service, notwithstanding that the Service may have been commissioned or funded by the Client.

Nutrivival will maintain appropriate professional confidentiality and will not normally disclose an individual’s personal health information to the Client without an appropriate lawful basis and, where required, the individual’s consent.

Where programme evaluation is undertaken, information provided to the Client will normally be aggregated or anonymised so that individual Participants cannot be identified.

6. Nutrition Pop-Up Clinics

Where a Nutrition Pop-Up Clinic is included within the Services, the Booking will specify the agreed format, duration and number of appointments where applicable.

Pop-Up Clinic appointments provide a brief, one-off nutritional assessment and general guidance rather than a full Nutritional Therapy programme.

Unless specifically agreed otherwise, Pop-Up Clinic appointments do not include:

  • functional testing;
  • nutraceutical or supplement prescriptions;
  • detailed clinical investigation;
  • ongoing private clinical support;
  • a full Nutritional Therapy programme.

Where a Participant’s circumstances indicate that further assessment or medical attention may be appropriate, Nutrivival may recommend that the Participant seeks appropriate professional support.

The Client is responsible for communicating the agreed arrangements to Participants and for ensuring that Participants understand any appointment booking requirements.

7. Client Responsibilities

The Client agrees to:

  • provide Nutrivival with accurate and timely information required to deliver the Services;
  • provide reasonable access to the agreed workplace, venue or online platform where applicable;
  • ensure that any venue provided is suitable for the agreed Services;
  • communicate relevant arrangements to Participants;
  • ensure that agreed equipment, facilities and technical requirements are available;
  • notify Nutrivival of any relevant health, safety, accessibility or environmental considerations that may affect delivery;
  • ensure that any food, refreshments or other items provided by the Client are suitable for the agreed activity and that relevant allergen information is available.

Where the Services involve food preparation, tasting or handling, the responsibilities of Nutrivival and the Client will be agreed in advance, including responsibility for food purchasing, storage, preparation, serving and allergen information.

8. Participant Numbers

The Client must not exceed the agreed number of Participants without prior agreement from Nutrivival.

Where attendance is expected to exceed the agreed number, Nutrivival may, at its discretion:

  • agree to the increased number;
  • modify the delivery arrangements;
  • apply an additional charge; or
  • decline to accommodate additional Participants where this would compromise the quality or safety of the Service.

9. Fees and Payment

Fees will be confirmed in the relevant Booking.

Unless otherwise agreed in writing:

  • corporate Services will be invoiced by Nutrivival;
  • invoices are payable within 21 days of the invoice date;
  • Nutrivival reserves the right to charge reasonable additional costs for agreed travel, accommodation, venue hire, materials or other expenses;
  • work outside the agreed scope may be charged separately at the rate agreed with the Client.

All prices will be stated inclusive or exclusive of VAT as applicable.

If an invoice remains unpaid after the agreed payment period, Nutrivival may suspend or postpone further Services until payment is received.

10. Cancellation by the Client

Nutrivival recognises that organisations may occasionally need to cancel or postpone a Booking.

However, corporate Services often involve advance preparation, programme development, diary commitments and, where applicable, travel and other costs.

Unless alternative cancellation arrangements are agreed in the Booking, the following charges will apply:

More than 15 working days before the Service No cancellation charge, other than any non-refundable costs already incurred
8–15 working days before the Service 50% of the agreed Service fee
0–7 working days before the Service 100% of the agreed Service fee

Where Nutrivival has undertaken substantial bespoke preparation or development specifically for the Client, the Client may also be responsible for reasonable preparation costs already incurred.

Nutrivival will take reasonable steps to mitigate any loss arising from a cancellation.

11. Rescheduling

Where the Client needs to change the date or time of an agreed Service, Nutrivival will endeavour to accommodate the change where diary commitments permit.

A request to reschedule may be treated as a cancellation and new Booking where insufficient notice is provided or where the change creates significant additional work or costs.

Any additional travel, venue, accommodation or other costs arising from a Client-requested change may be charged to the Client.

12. Cancellation or Changes by Nutrivival

Nutrivival will make reasonable efforts to deliver the Services on the agreed date.

If Anna Earl is unable to deliver the Services because of illness, emergency or circumstances beyond her reasonable control, Nutrivival will, where reasonably possible:

  • offer an alternative date;
  • provide an alternative suitably qualified professional, where appropriate and agreed; or
  • refund any fees paid for Services that cannot reasonably be delivered.

Nutrivival will not be responsible for indirect losses arising from a cancellation or postponement beyond its reasonable control.

13. Force Majeure

Neither party will be liable for failure or delay in performing its obligations where this results from circumstances beyond its reasonable control.

Such circumstances may include, but are not limited to, serious illness, natural disasters, significant transport disruption, fire, flood, power or internet failure, industrial action, government restrictions or other circumstances that could not reasonably have been anticipated or prevented.

The affected party will notify the other party as soon as reasonably practicable and both parties will use reasonable efforts to agree an alternative arrangement.

14. Confidentiality and Privacy

Nutrivival will treat confidential information received from the Client in connection with the Services appropriately and will not knowingly disclose confidential business information to third parties except where:

  • disclosure is required by law;
  • disclosure is necessary to protect an individual’s safety;
  • disclosure is required to deliver the Services and is covered by appropriate confidentiality obligations; or
  • the Client has provided appropriate permission.

Personal information will be collected, stored and processed in accordance with Nutrivival’s Privacy Policy and applicable UK data protection legislation.

Where individual Participants disclose health information during a clinical service, that information will be treated as confidential clinical information and will not normally be shared with the Client in an identifiable form.

15. Evaluation and Reporting

Where evaluation is included within the Services, Nutrivival may collect feedback or outcome information from Participants.

The Client may receive a summary report describing overall participation, feedback, themes and/or aggregated outcomes.

Unless otherwise agreed and appropriately consented, reports will not identify individual Participants or disclose individual health information.

16. Professional Independence and Clinical Boundaries

Nutrivival will provide nutrition and wellbeing information independently and within the scope of its professional competence.

The Client acknowledges that payment for Services does not give the Client the right to determine the professional advice given to an individual Participant.

Where Nutrivival considers that a Participant’s needs fall outside the scope of the Services or professional competence, the Participant may be advised to seek appropriate support from another healthcare or other qualified professional.

Nutrivival does not diagnose medical conditions or replace medical treatment.

17. Supplements and Functional Testing

Supplements, nutraceuticals and functional testing are not included within corporate group presentations, workshops or general wellbeing programmes unless expressly stated in the Booking.

Where individual Nutritional Therapy is commissioned and supplements or testing are considered appropriate, this will be managed under the applicable individual Nutritional Therapy terms and professional arrangements.

18. Intellectual Property and Use of Materials

All Materials supplied or created by Nutrivival remain the intellectual property of Nutrivival unless expressly agreed otherwise in writing.

This includes, but is not limited to:

  • presentations;
  • workbooks;
  • handouts;
  • worksheets;
  • videos;
  • e-books;
  • written content;
  • programme structures;
  • frameworks;
  • exercises;
  • educational resources;
  • branded programmes and methodologies.

The Client is granted a non-exclusive, non-transferable licence to use Materials supplied as part of the Services for the Client’s internal organisational purposes and for the Participants for whom the Services were commissioned.

Unless otherwise agreed in writing, Materials must not be:

  • commercially resold;
  • reproduced for use outside the Client’s organisation;
  • substantially modified;
  • distributed to third parties;
  • uploaded to public websites or shared platforms;
  • incorporated into another training programme; or
  • used to provide training or consultancy to others.

Any recording, reproduction or redistribution of Nutrivival’s presentations, workshops or online sessions requires prior written permission from Nutrivival.

19. Recording of Sessions

The Client and Participants must not record, reproduce, photograph, screen-capture or otherwise copy a live Nutrivival session without prior written permission.

Where a recording is specifically commissioned and agreed in advance, the permitted use, duration, storage and distribution arrangements will be agreed in writing before the recording is made.

20. Marketing and Use of Client Name

Nutrivival will not use the Client’s name, logo or branding in public marketing materials without the Client’s prior permission.

Nutrivival may, with the Client’s permission, refer to the organisation as a client and/or use an agreed testimonial or case study.

No confidential or commercially sensitive information will be published without appropriate agreement.

21. Liability

Nutrivival will provide the Services with reasonable care and skill.

Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by law.

Subject to that, Nutrivival will not be liable for indirect or consequential losses arising from the Client’s use of the Services or Materials.

The Client remains responsible for decisions made by the Client or Participants following receipt of general nutrition and wellbeing information.

Any limitation of liability will be subject to applicable law and the terms of Nutrivival’s professional and business insurance.

22. Insurance

Nutrivival maintains appropriate professional and business insurance for the Services provided.

Where the Client has specific insurance, safeguarding, health and safety or contractual requirements, these should be disclosed to Nutrivival before the Booking is confirmed so that they can be considered and agreed where appropriate.

23. Complaints

Nutrivival aims to provide a professional, high-quality service.

If the Client has any concerns about the Services, these should be raised with Nutrivival as soon as reasonably practicable so that the matter can be investigated and, where possible, resolved.

24. Termination

Either party may seek to terminate an ongoing programme where the other party has materially breached these Terms & Conditions and has failed to remedy the breach within a reasonable period following written notification.

Where an ongoing programme is terminated, the Client will remain responsible for payment for Services already delivered and any agreed non-refundable costs or work already undertaken.

25. Changes to these Terms & Conditions

Nutrivival may update these Terms & Conditions from time to time.

The version applicable to a Booking will be the version provided to or agreed with the Client at the time the Booking is confirmed, unless both parties subsequently agree otherwise in writing.

26. Governing Law

These Terms & Conditions and any dispute or claim arising from them shall be governed by the laws of England and Wales.

The courts of England and Wales shall have jurisdiction over any dispute arising from the Services, subject to any alternative dispute resolution arrangements agreed between the parties.

27. Agreement

The Client’s acceptance of a quotation, proposal, Booking confirmation or statement of work constitutes acceptance of these Terms & Conditions unless alternative terms have been expressly agreed in writing.

Where there is a conflict between these Terms & Conditions and a specific Booking, the terms of the specific Booking will take precedence to the extent of that conflict.
